One important - but often overlooked - area of risk management is the various operating agreements that provide for such things as boundaries for corporate actions, effective transfer of ownership interests, and non-compete and non-solicitationprotection. Effective agreements can help protect you and your business from unpredictable and potentially damaging events.
This seminar identified common pitfalls associated with corporate documents and provided a variety of best practices. Discussion topics included:
- Roles, responsibilities, and compensation issues in multi-owner, multi-generational organizations
- Transfer of ownership interests within a closely-held business-family dynamics, sales to outsiders, redemption issues, etc.
- Documents to obtain from new hires to protect against actions detrimental to the company
Steve Christian, Managing Director of Kreischer Miller, and Ryan Udell, Co-Chair -Corporate and Securities Group of White and Williams, LLP, hosted an interactive and practical seminar on dealing with the basic tenants of effective corporate documents.
Drawing on more than 50 years of combined experience advising middle market companies on good governance matters, they shared interesting, thought-provoking experiences that help businesses evaluate the effectiveness of their governance practices.
