Beginning in 2025, most domestic and foreign filing associations, including domestic nonprofit corporations, are required to file an annual report in Pennsylvania. The filing is due by June 30.
Key Information Required in the Annual Report
The annual report must include the following information:
- Business name
- Jurisdiction of formation
- Registered office address
- Principal office address
- Name of at least one governor (director, member, partner, etc., depending on type of association)
- Names and titles of the principal officers, if any
- Entity number issued by the Pennsylvania Department of State
Filing Details and Deadlines
There is no filing fee for nonprofit corporations and the annual report must be filed by June 30 of each year. The annual report must be signed by the organization.
The annual report should be filed online, where the report will prepopulate with the details that are currently on file. Instructions for filing this report can be found on the Department of State’s website.
While there is a transition period for the new annual report, organizations that fail to file the annual report in the 2027 calendar year will be subject to administrative dissolution six months after the due date of the annual report.
